Terms of Use

These Terms of Use ("Terms") govern your access to and use of MerchPlannr (the "Service"), operated by Stratus Logic LLC ("we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended for business users and is available only to individuals who are at least 18 years old.

2. Accounts, Organizations, and Roles

• You must provide accurate account information and keep it up to date.
• Accounts are associated with one or more organizations (tenants). Data within an organization is accessible only to users of that organization.
• Role-based access may apply (e.g., Owner, Admin, Manager, Buyer, Viewer). Your organization controls role assignment and permissions.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Subscriptions, Trials, and Payments

• The Service is offered on a paid subscription basis and may include a free trial period (currently 7 days).
• Payments are processed by third-party payment processors (e.g., Stripe). We do not store payment card numbers.
• Subscription fees, billing intervals, and plan features are described at the time of purchase and may change with notice.
• You may cancel your subscription in accordance with the in-app controls or your account settings. Cancellation takes effect at the end of the current billing period unless stated otherwise.

4. Your Content and Data

The Service allows you to upload, create, store, and manage business data (including product catalogs, pricing data, margins, inventory levels, and related operational information) ("Customer Content").

• You retain ownership of Customer Content.
• You grant us a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service.
• You represent and warrant that you have the rights and permissions needed to provide Customer Content to the Service.

5. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent purposes.
• Attempt to access data outside your organization or bypass security controls.
• Reverse engineer, decompile, or attempt to extract source code, models, or underlying methods (except where prohibited by law).
• Upload malware or interfere with the operation or security of the Service.
• Use the Service to infringe intellectual property rights or violate confidentiality obligations.

6. AI Features and Disclaimers

The Service may provide AI-powered recommendations, forecasts, and insights. These outputs are provided for informational purposes and are not professional advice.

• AI outputs may be inaccurate, incomplete, or not suited to your specific circumstances.
• You are responsible for evaluating AI outputs and all decisions made using the Service.
• We are not responsible for losses or damages resulting from reliance on AI outputs.

7. Integrations

The Service may support integrations with third-party services (e.g., Faire). Your use of third-party services is governed by their terms and policies. We are not responsible for third-party services, including their availability, security, or data practices.

8. Beta Status

The Service is currently offered in public beta. This means features may change, be removed, or behave unexpectedly. We do not guarantee uninterrupted availability during beta.

9. Intellectual Property

We and our licensors own all rights, title, and interest in the Service, including software, designs, text, graphics, logos, and underlying technology, excluding Customer Content.

10. Termination

We may suspend or terminate access to the Service if you violate these Terms or if we reasonably believe your use poses a security, legal, or operational risk. You may stop using the Service at any time and may cancel your subscription as described above.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Stratus Logic LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the amounts paid by you to us for the Service in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Stratus Logic LLC from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, or your violation of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other appropriate means. Continued use after changes become effective means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
